Terms & Conditions

1. Definitions
"Pimienta" refers to Pimienta Agency, a trade name of Julie van der Lande BV, registered with the Dutch Chamber of Commerce under KvK 65637232, VAT NL856198018B01, established at Willem van Abcoudelaan 18, 1391 CD Abcoude, the Netherlands.
"Client" refers to any business or organisation that engages Pimienta for services.
"Services" refers to design, advertising, consultancy, and related work performed by Pimienta.
2. Applicability & acceptance
These terms apply to every quotation, agreement, and invoice issued by Pimienta. The Client unconditionally accepts these terms in full by any of the following:
- confirming (accepting) a quote in writing or by email;
- signing a proposal or order confirmation;
- paying an invoice (in full or in part); or
- otherwise instructing Pimienta to start work.
Acceptance also constitutes agreement to all provisions of these terms, including the limitation of liability (article 7) and the provisions on the use of AI tools (article 10). The applicability of any general terms of the Client is expressly excluded.
3. Quotations & agreements
Quotations are valid for 30 days unless otherwise stated. An agreement comes into force upon written acceptance by the Client (including email confirmation) or upon payment of the first invoice. Verbal agreements are non-binding until confirmed in writing.
4. Fees, invoicing & payment
Fees are quoted in euros (EUR) excluding VAT unless stated otherwise. Invoices are payable within 14 days of the invoice date by bank transfer. In case of late payment, statutory commercial interest under Dutch law (art. 6:119a BW) and €40 collection costs apply automatically.
Pimienta may suspend or terminate Services if invoices remain unpaid after 14 days from the due date.
Ad spend on Google, Meta, LinkedIn, and other platforms is billed directly by those platforms to the Client and is not included in Pimienta's management fees unless explicitly agreed otherwise.
5. Term & termination
Recurring service agreements (Google Ads management, monthly retainers) run month-to-month with a notice period of 30 days. Notice must be given in writing.
Pimienta may terminate the agreement with immediate effect in case of material breach by the Client (including non-payment) or insolvency.
6. Intellectual property
All concepts, drafts, designs, code, copy, and other deliverables produced by Pimienta remain the intellectual property of Pimienta until full payment of the related invoice has been received. Upon full payment, ownership of the final deliverables transfers to the Client for the agreed use.
Pimienta retains the right to display the work in its portfolio (including this website) and case studies, unless the Client has explicitly requested confidentiality in writing.
7. Liability
Pimienta's total liability for any direct damages arising from or related to the Services is limited to the total amount actually paid by the Client to Pimienta for the relevant Services in the three (3) months preceding the event causing the damage.
Pimienta is not liable for indirect, consequential, or incidental damages, including but not limited to loss of profit, loss of revenue, loss of customers, loss of data, or reputational damage.
Pimienta is not liable for results of advertising campaigns. Performance of Google, Meta, LinkedIn, and other platforms depends on factors outside Pimienta's control (algorithm changes, ad spend, market conditions, third-party platform decisions). Past performance is no guarantee of future results.
8. Force majeure
Neither party is liable for delays or failures caused by circumstances beyond reasonable control, including platform outages, government measures, illness, or third-party dependencies.
9. Confidentiality
Both parties will treat non-public information shared during the engagement as confidential and will not disclose it to third parties without prior written consent, except as required by law.
10. Use of AI tools
Pimienta uses AI tools such as Claude, ChatGPT and comparable platforms to work faster and deliver stronger results — for idea generation, copy drafting, code analysis, campaign optimisation and workflow automation. We want to be transparent about how we use these tools and how we protect the Client's data.
- Human review on everything. Every output produced by an AI is reviewed, edited and approved by a Pimienta team member before delivery. We are responsible for the quality — not the tool.
- No training on client data. We use business-tier accounts (e.g. Claude Pro/Team, ChatGPT Team) that do not use our inputs to train their models.
- Confidentiality still applies. Any Client information entered into AI tools falls under the same duty of confidentiality as the rest of our work (see article 9).
- No liability for AI-specific errors. AI tools can occasionally produce inaccurate or fabricated information ("hallucinations"). Because we manually review every deliverable, this risk is minimised — but Pimienta is not liable for damage caused by AI-generated content that is used by the Client without additional verification after delivery.
- IP transfer unchanged. Where a deliverable is co-created with AI, the standard transfer of intellectual property described in article 6 continues to apply.
If the Client explicitly does not want AI tools used on a specific project, we agree on that at the start of the engagement and record it in writing.
11. Privacy & data processing
Pimienta processes personal data in line with the GDPR. See our Privacy Policy for details.
12. Governing law & disputes
These terms and any agreement between Pimienta and the Client are governed by Dutch law. Disputes will be submitted exclusively to the competent court in Amsterdam, the Netherlands.
13. Changes
Pimienta may amend these terms at any time. The version published on this website at the time of acceptance applies to the engagement.
